These terms and conditions (“Terms”) govern the use of the Uni Invite (as defined below) feature made available by Cialfo Global Pte. Ltd.’s (“Cialfo”) to participating Universities (as defined below) through the Platform (as defined below). By clicking “accept” or otherwise using this feature, the University: (a) accepts the Terms specified below; (b) represents that it is duly authorised to bind itself; and (c) agrees that, in the event of conflict, these Terms prevails over any contrary terms the University may propose.

1. Definitions

“Conditions” shall mean all academic, financial, administrative or other prerequisites the Student must satisfy to receive the Benefits, as set out in an Invitation.

“Invitation” shall mean any communication sent via Uni Invite that offers, conditionally or unconditionally, admission, scholarships, bursaries, fee waivers, stipends, preferential deadlines, or any other benefit (collectively, “Benefits”).

“Platform” shall mean to include the website, application, or other service on which Uni Invite is offered, operated by Cialfo and/or its affiliates.

“Uni Invite” shall mean the functionality that enables a University to transmit an Invitation to a Student.

“University” shall mean the higher-education institution (including its authorised officers, employees, admins and agents) that uses or is registered on the Platform.

“Student” shall mean a natural person who has an account on the Platform and is eligible to receive invitations through Uni Invite.

2. University’s Covenants

• The University shall issue each Invitation with the bona-fide intention of honouring every Benefit, including direct or conditional admission, once the Student satisfies all stated Conditions.
• All statements in an Invitation (including but not limited to programme details, Conditions, deadlines, scholarship amounts, seat availability, etc.) must be current, complete and non-misleading. The University must promptly correct any inaccuracy of which it becomes aware and shall be solely responsible for the accuracy of the information shared.
• The University shall only Invite Students who, based on their profile on the Platform, reasonably align with the University’s academic standards and programme prerequisites.
• The University acknowledges that participation by Students in this process is entirely voluntary. The University shall communicate with Students in a respectful, professional, and non-coercive manner, and shall not exert undue pressure, misrepresent facts, or otherwise manipulate Student’s decisions.
• The University shall comply with all applicable laws (including scholarship-regulation (if any), consumer-protection and data-protection laws) and with all Platform’s policies as updated from time to time. In the event of any inconsistency between the Platform’s policies and the Terms, the provisions of the Terms shall prevail to the extent of such inconsistency.
• Once a Student accepts an Invitation and fulfils the Conditions, the admission seat, scholarship or other Benefit becomes a binding obligation between the University and the Student. It is hereby clarified that neither Cialfo nor the Platform is a party and/or a guarantor.
• The University shall not download, extract, or misuse student data obtained through the Platform other than as may be shared by the Student. Any use of such data must comply with applicable privacy laws.
• The University must notify the Student if any changes materially affect the Invitation or the Benefits thereto.
• The University agrees to comply with all applicable laws pertaining to the use of Uni Invite and processing, storage of Student’s data, including data protection laws, and adhere to Platform’s terms, Terms, and operational policies as may be amended from time to time.
• Cialfo may suspend or revoke the University’s Uni Invite access, or modify or remove any invitation, if it reasonably believes the University has breached Terms.
• The Platform or Cialfo does not endorse any University or its programs, nor guarantee the accuracy of University-provided information.
• Uni Invite is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, the Platform and Cialfo disclaim all express or implied warranties, including fitness for a particular purpose, uninterrupted availability, and accuracy of Student data.
• The University represents and warrants that: (i) its adherence to the Terms and use of Uni Invite do not violate any contract, charter, regulation, or court order; (ii) all information it submits to the Platform is true, accurate, and complete; and (iii) it holds, and will maintain, all licences, accreditations, and regulatory approvals required to offer the programs referenced in its invitations.
• The University may process personal data of Students only for legitimate recruitment purposes and in compliance with applicable data-protection laws and Platform’s policies.
• Uni Invite and all underlying technology, trademarks, and content are and remain the exclusive property of Cialfo. The University receives no right or licence except as expressly set out herein.
• The Platform may amend these Terms by posting an updated version and with or without providing the University with notice via the Platform dashboard or email. Continued use of Uni Invite after the effective date of an amendment constitutes acceptance.
• These Terms, read with the Platform’s policies, constitute the entire understanding between the parties regarding Uni Invite and supersede all prior or contemporaneous communications.
• If any provision is held invalid, the remaining provisions remain in full force and effect.
• A failure to enforce any provision is not a waiver of future enforcement of that or any other provision.
